Brazilian withholding on technical services.
all 39 treaties, one by one

The same invoice can be hit with 15% withholding at source — the rate <strong>Article 3 of Provisional Measure 2,159-70/2001</strong> fixes for technical services and technical assistance — or with none at all, and what decides it is not the nature of the service: it is one sentence in the protocol to the treaty. Two foreign engineering firms invoice Brazilian clients for the same work, in the same month, for the same amount. The French firm is paid in full. The Portuguese firm receives fifteen per cent less, withheld at source in Brazil. Neither client made a mistake.

The difference is a sentence that does not appear in the body of the treaty at all, but in the protocol annexed to it — present in some agreements, absent in others. This page shows where it is, where it is not, and precisely what each decree says.

The rule that decides whether Brazil withholds

The criterion is administrative and sits in Interpretative Declaratory Act RFB No. 5 of 2014 (Ato Declaratório Interpretativo RFB nº 5/2014). It settled a dispute that ran for decades: which article of the treaty covers a payment for technical services rendered without transfer of technology.

Why the article matters more than the rate

Falling under Article 12 means the payment is a royalty for treaty purposes, and the source State — Brazil — may tax it up to the cap the treaty itself sets. Falling under Article 7 means it is business profit, taxable only in the provider’s State of residence unless there is a permanent establishment in Brazil. In the first case there is withholding; in the second there is not.

The exception that survives the rule

Even without an equating clause, withholding may still arise through Article 14, on independent personal services, which reaches technical work performed by an individual or by a partnership of professionals in certain conditions. The absence of a protocol clause rules out Article 12; it does not rule out taxation altogether.

Brazil’s treaty network is not uniform. Four different treatments coexist within it, and the difference between them changes the cost of the engagement.

The four treaties with no clause

France, Austria, Finland and Japan. In each case the protocol was read in full and no item treats technical services as royalties. These are the jurisdictions where the Article 7 classification is most defensible — and, by consequence, where withholding already suffered is most worth reviewing for a refund claim.

Japan: there is not even the hook the others widen

Japan deserves its own note, because two features trip people up. First, numbering: in the Brazil–Japan treaty royalties sit in Article 11, not Article 12 as in most of the network. Anyone looking for the clause under Article 12 finds nothing and wrongly concludes the matter was never addressed.

Second, substance. The Protocol promulgated by Decree 81,194/1978 replaced the definition of royalties with a closed, enumerative list: copyright in literary, artistic or scientific work, films and broadcasting tapes, patents, trademarks, designs, models, plans, secret formulas or processes, and the use of industrial, commercial or scientific equipment. The phrase “information concerning industrial, commercial or scientific experience” is absent — and that phrase is exactly the hook that Spain, Italy, Canada, Israel, Luxembourg and Ukraine widen by protocol to capture technical services. In the Japanese treaty there is no hook to widen. It is the most solid negative in the network.

The six treaties with a standalone article

United Arab Emirates, Switzerland, Singapore, Uruguay, Poland and — since October 2025 — India follow a more modern design: instead of pushing technical services into the royalties article, they create a dedicated article for them, with its own rate. In these treaties the protocol item reaches only technical assistance — technical services have their own address.

The Brazil–Poland treaty, promulgated by Decree 12,865 of 2 March 2026, is the clearest example. Its Article 13 is titled Fees for Technical Services and defines them broadly: any payment in consideration for any service of a managerial, technical or consultancy nature, with express carve-outs for payments to an employee and for teaching in an educational institution.

Two declared gaps, and two jurisdictions outside the count

South Korea and the Philippines remain gaps: the annexes carrying the treaty text are scanned PDFs with no text layer — 76 and 10 pages for Korea, 46 for the Philippines, all returning zero extractable characters. The page records the gap rather than filling it.

The United Kingdom and Paraguay have no treaty in force with Brazil, so the question does not arise and domestic law applies. Neither appears in the Brazilian tax authority’s list of treaties in force; the Paraguay agreement was approved by Legislative Decree 972 of 2003 but never promulgated.

Germany: no treaty since 2006

Frequently overlooked: there has been no Brazil–Germany treaty since 2006. Following Germany’s denunciation on 7 April 2005, Declaratory Executive Act SRF No. 72 of 22 December 2005 provides in Article 1 that the treaty “shall cease to be in force, by reason of its denunciation, on 1 January 2006”, and in Article 2 that its treatment “shall cease to apply to income earned or paid, credited or remitted from” that date. Germany nevertheless still appears in the tax authority’s own index, which misleads anyone checking quickly.

How to use the matrix on a live engagement

The table answers one question and deliberately not another. It tells you which article the payment falls under. It does not tell you the effective rate on your invoice, because that depends on the cap in the specific treaty, on what was actually contracted, and on what the contract documents.

Before the treaty cap can help, the domestic rate has to be established. The 25% trigger is Lei 9.779/1999, art. 8 (Brazilian income tax regulation, RIR/2018, art. 748). Note that the low-tax threshold is now 17%, not 20% — art. 40 of Lei 14.596/2023, in force since 1 January 2024.

The most common misconception. Treating “there is a treaty” as equivalent to “there is no withholding”. As the matrix shows, most Brazilian treaties do the opposite: they treat the service as a royalty and authorise withholding. The absence of a clause is the exception — five jurisdictions out of thirty-nine.

Frequently asked questions

Does Brazil withhold tax on payments for technical services?
It depends on the treaty and, specifically, on its protocol. Under Interpretative Declaratory Act RFB No. 5/2014, where the protocol treats fees for technical services as royalties, the payment falls under Article 12 and Brazil withholds up to the cap set by that treaty. Where there is no such clause and no personal technical qualification is involved, the payment falls under Article 7 and Brazil does not withhold. Of Brazil's 39 treaties, 25 contain the clause.
Which treaties do not allow Brazil to withhold on technical services?
France, Austria, Finland and Japan. In each case the protocol was read in full and contains no item treating technical services as royalties. Is there a tax treaty between Brazil and Germany?
No. Germany denounced the treaty on 7 April 2005 and, under Declaratory Executive Act SRF No. 72 of 22 December 2005, it ceased to be in force on 1 January 2006, with its treatment no longer applying to income earned or paid, credited or remitted from that date. Payments to German residents follow Brazilian domestic law. Germany nevertheless still appears in the Brazilian tax authority's treaty index, which is a trap for anyone checking quickly.
Is there a tax treaty between Brazil and the United Kingdom?
Not in force. The United Kingdom does not appear in the Brazilian tax authority's list of double tax treaties in force, so payments between the two countries are governed by domestic law rather than by treaty. The same applies to Paraguay, whose agreement was approved by Legislative Decree 972 of 2003 but never promulgated.
Which Brazilian treaties have a standalone article for technical services?
The treaties with the United Arab Emirates, Switzerland, Singapore, Uruguay and Poland. Rather than treating technical services as royalties by protocol, these agreements create a dedicated article with its own rate, and the protocol item covers only technical assistance. The Brazil–Poland treaty, promulgated by Decree 12,865 of 2 March 2026, defines fees for technical services broadly, as consideration for any service of a managerial, technical or consultancy nature.
Can withholding tax suffered in Brazil be recovered?
Where the treaty contains no equating clause and the payment was nevertheless subjected to withholding under Article 12, there is a basis to claim a refund of the undue amount. The analysis starts from the treaty applicable to the provider's State of residence and from what the contract documents as the scope supplied, since it is the contract that sustains the classification under audit.
